General Terms of Service

Effective date: September 27, 2026

These General Terms of Service (“Terms”) govern non-membership services provided by Anacapa Commerce LLC, doing business as The AMZ Specialist (“The AMZ Specialist,” “we,” “us,” or “our”).

By purchasing a service, booking a session, or accepting a proposal or statement of work, you agree to these Terms. If you are acting for a business or another person, you represent that you have authority to accept these Terms on their behalf.

AMZ Specialist Access is governed by the separate AMZ Specialist Access Membership Terms. Our handling of personal information is described in the Privacy Policy.

1. Services and Scope

These Terms apply to the following services:

Amazon Ads Performance Audit: $995 one-time

An independent evaluation of the Amazon advertising account, information, and materials made available to us. The Audit includes the deliverables described on the applicable service or checkout page.

The Audit does not include ongoing implementation, account management, or work outside the stated deliverables unless separately agreed in writing.

60-Minute Strategy Session

A scheduled advisory session addressing the topics submitted or discussed by the client.

  • Non-member price: $299
  • Active AMZ Specialist Access member price: $249

The member price is available only to clients whose AMZ Specialist Access membership is active when the session is booked.

45-Day Amazon Ads Efficiency Reset: starting at $2,000 one-time

A defined optimization engagement delivered under an accepted proposal or statement of work. The proposal will state the final scope, fees, timing, deliverables, and payment terms.

$500 Audit-to-Reset Credit
An eligible Audit customer must request 45-Day Efficiency Reset scoping within 30 calendar days of Audit delivery. Once The AMZ Specialist provides the scoped Reset proposal, the credit remains available for 7 calendar days to complete the purchase. The credit applies only to the same business and Amazon account reviewed in the Audit. It is a one-time credit, is non-transferable, has no cash value, does not apply to Ongoing Management or other services, cannot be combined with other discounts or credits, and is unavailable if the Audit is refunded, reversed, or charged back.

Ongoing Amazon Ads Management: starting at $2,000 per month

Recurring advertising-management services delivered under an accepted proposal or statement of work. The proposal will state the final scope, fees, billing schedule, service period, and termination terms.

Services not included in a checkout description or accepted proposal are outside the agreed scope and may require a separate agreement and fee.

2. Proposals and Statements of Work

An accepted proposal or statement of work controls the engagement-specific:

  • Scope
  • Fees and payment schedule
  • Timing
  • Deliverables
  • Cancellation terms
  • Termination terms

These website Terms govern everything else.

The AMZ Specialist Access Membership Terms continue to govern the membership itself. The separate Cancellation & Refund Policy applies unless an accepted proposal contains different cancellation or refund terms for that engagement.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information.
  • Provide appropriate access to relevant Amazon advertising accounts, reports, and supporting materials.
  • Use secure permissions or delegated access where available instead of unnecessarily sharing account passwords.
  • Respond to reasonable questions and requests for information.
  • Review recommendations, drafts, and proposed actions in a timely manner.
  • Ensure that you have the right to provide the materials, data, claims, content, and instructions submitted for the engagement.
  • Retain responsibility for your business decisions, account activity, product compliance, inventory, pricing, listings, and implementation unless an accepted proposal expressly assigns an activity to us.

You must not knowingly provide unlawful, infringing, or unauthorized materials or instructions.

Delays in providing required information or access may extend delivery dates. We are not responsible for delays or incomplete analysis caused by missing, inaccurate, or inaccessible information.

4. Fees, Payment, and Taxes

Prices displayed on the website apply at the time of purchase. We may change prices for future purchases, but a price change will not retroactively alter a completed purchase or accepted proposal.

Proposal-based services are billed according to the applicable proposal or invoice.

Payments may be processed through Stripe or another disclosed payment provider. You agree to provide accurate billing information and authorize the applicable charges.

Unless otherwise stated, fees are in U.S. dollars. You are responsible for any taxes that apply to your purchase, except taxes imposed on our income.

We may pause work on overdue accounts after reasonable notice.

5. Scheduling and Delivery

Audit timing begins after we receive the information and account access reasonably necessary to perform the review.

Strategy Sessions last up to 60 minutes and ordinarily end at the scheduled time, including when a client joins late. Rescheduling and cancellation rules are stated in the Cancellation & Refund Policy.

Reset and Ongoing Management timelines are governed by the applicable proposal or statement of work.

Delivery dates are good-faith estimates unless an accepted proposal expressly identifies a date as a binding deadline. Client delays, platform problems, or circumstances outside our reasonable control may extend a delivery estimate.

6. Professional Judgment and No Guaranteed Results

Amazon advertising results depend on many factors outside our control, including competition, marketplace conditions, product demand, inventory, pricing, reviews, listing quality, account history, Amazon policies, platform changes, and the client’s implementation decisions.

We provide analysis, recommendations, and services using professional judgment based on the information available at the time.

We do not guarantee:

  • Sales, profit, revenue, rankings, impressions, clicks, conversion rates, return on ad spend, advertising cost of sales, or other performance results.
  • Approval or favorable treatment by Amazon.
  • That Amazon will not suspend, restrict, modify, or terminate an account, listing, campaign, feature, or program.
  • That recommendations will remain appropriate after material marketplace, business, or platform changes.

Information we provide is business and advertising guidance. It is not legal, tax, accounting, investment, or financial advice.

You remain responsible for evaluating recommendations and deciding whether and how to implement them.

7. Amazon and Other Third-Party Platforms

Amazon, Stripe, scheduling providers, video-conferencing providers, analytics services, and other third-party platforms operate independently of The AMZ Specialist.

We do not control their availability, security, policies, decisions, fees, errors, outages, suspensions, enforcement actions, or changes.

We are not Amazon and do not act on Amazon’s behalf. We may adjust the timing or scope of work when a third-party platform change materially affects an engagement.

8. Confidentiality and Privacy

Each party will use reasonable care to protect nonpublic business information received from the other and will use it only for the engagement, legal compliance, or another purpose authorized by the disclosing party.

Information may be disclosed to service providers or professional advisers who reasonably need it for the engagement, or when disclosure is required by law.

Confidentiality does not apply to information that:

  • Is or becomes public through no breach of these Terms.
  • Was lawfully known without a confidentiality duty.
  • Is independently developed without using the other party’s confidential information.
  • Is lawfully received from another source.
  • Must be disclosed by law, court order, or valid governmental request.

Our collection and handling of personal information are described in the Privacy Policy.

9. Intellectual Property

You retain ownership of your business information, account data, trademarks, and materials.

You grant us a limited right to use those materials as reasonably necessary to perform and administer the engagement.

We retain ownership of our pre-existing methods, templates, processes, frameworks, know-how, and reusable materials.

After full payment, you receive a nonexclusive, nontransferable license to use completed client-specific deliverables internally for your business.

You may share deliverables with employees, contractors, accountants, attorneys, or other professional advisers who reasonably need them for your business. You may not resell, publicly distribute, publish, sublicense, or present our deliverables as the work of another provider without written permission.

10. Cancellations and Refunds

Cancellations, rescheduling requests, and refund eligibility are governed by the separate Cancellation & Refund Policy and any applicable proposal or statement of work.

AMZ Specialist Access membership cancellations, renewals, and refunds are governed by the separate AMZ Specialist Access Membership Terms.

Nothing in these Terms limits a cancellation, refund, or other right that cannot lawfully be waived.

11. Suspension and Termination

Proposal-based services may be terminated as stated in the applicable proposal.

If a proposal does not address termination, either party may terminate the engagement by providing written notice. The client remains responsible for completed work and authorized noncancelable commitments. Any genuinely unearned prepaid amount will be refunded.

We may immediately suspend or stop work when reasonably necessary because of:

  • Nonpayment.
  • Unlawful activity or instructions.
  • Fraudulent, abusive, or threatening conduct.
  • A material security risk.
  • Loss of access needed to perform the work.
  • Circumstances that make it reasonably impossible to continue the service.

When practical, we will explain the reason for a suspension and provide an opportunity to resolve the issue.

Termination does not eliminate obligations that arose before termination, including payment for completed work.

12. Limitation of Liability

To the extent permitted by law, The AMZ Specialist’s total liability arising from a service will not exceed the amount paid for the service giving rise to the claim.

For a recurring service, total liability will not exceed the fees paid for that service during the six months before the event giving rise to the claim.

To the extent permitted by law, The AMZ Specialist is not responsible for indirect or consequential business losses, such as lost profits or lost opportunities.

This section does not limit responsibility for fraud, willful injury, violation of law, or any other liability that cannot lawfully be limited.

13. Events Outside Reasonable Control

Neither party is responsible for a delay caused by events outside its reasonable control, including platform outages, government actions, natural disasters, widespread internet failures, labor disruptions, or failures of third-party systems.

This section does not excuse payment for work already completed.

14. Governing Law and Disputes

Before filing a legal action, the parties will provide written notice describing the dispute and make a good-faith effort to resolve it informally for at least 30 days.

These Terms are governed by California law, without regard to conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings relating to these Terms or a covered service will be brought in a court with jurisdiction in Ventura County, California.

This section does not prevent either party from pursuing an eligible claim in small-claims court or seeking urgent relief when reasonably necessary.

15. Changes to These Terms

The version of these Terms in effect when a one-time service is purchased governs that purchase unless the parties agree otherwise in writing.

Proposal-based services remain subject to the accepted proposal. We may update these Terms prospectively, but a change will not retroactively alter completed work, agreed fees, or rights that have already arisen.

16. General Provisions

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver of the right to enforce it later.

These Terms, the applicable Cancellation & Refund Policy, and any accepted proposal or statement of work form the agreement for the covered service.

Electronic communications and signatures may be used in connection with an engagement.
